Terms of Service

Please read these Terms of Service carefully before using Vinix Global services. By creating an account, placing an order, or using any Vinix service, you agree to be bound by these terms. If you are entering into this agreement on behalf of a business entity, you represent that you have authority to bind that entity.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Vinix, LLC (“Vinix,” “we,” “us,” or “our”), a Florida limited liability company and licensed telecommunications carrier. These Terms govern your access to and use of all Vinix products, services, websites, and applications (collectively, the “Services”).

By signing up for an account, submitting a service order, or using any Vinix Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Acceptable Use Policy, and Service Level Agreement, each of which is incorporated herein by reference.

2. Description of Services

Vinix is a licensed telecommunications provider offering the following categories of business communications services:

  • VoIP Business Phone Service: Cloud-hosted voice over IP telephone service, including local and toll-free number provisioning, inbound and outbound calling, voicemail, auto-attendant (IVR), call routing, and related voice features.
  • Unified Communications as a Service (UCaaS): Integrated platform combining voice, video conferencing, team messaging, presence, and file sharing in a single application.
  • Dedicated Fiber Internet: Symmetrical dedicated internet access delivered via fiber optic facilities to eligible service addresses.
  • Contact Center Solutions: Cloud contact center software including automatic call distribution (ACD), IVR, skills-based routing, agent reporting and analytics, and CRM integration capabilities.
  • SIP Trunking: Session Initiation Protocol trunking services for customers with existing PBX infrastructure.

Services are provided on a month-to-month or fixed-term basis as specified in your service order. Vinix reserves the right to modify, suspend, or discontinue any Service with reasonable notice, except where modifications are required to comply with applicable law or address security threats.

3. Account Registration & Security

To use Vinix Services, you must register for an account and provide accurate, complete, and current information. You agree to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must immediately notify Vinix of any unauthorized use of your account or credentials at [email protected] or by calling 1-855-GO-VINIX. Vinix is not liable for any loss or damage arising from your failure to protect your account credentials. You acknowledge that you are liable for all charges incurred through your account, including unauthorized charges that result from your failure to promptly report a security incident.

Vinix may require multi-factor authentication for account access and reserves the right to temporarily suspend an account if we detect suspicious activity, pending verification with the account holder.

4. Acceptable Use

Your use of Vinix Services is subject to our Acceptable Use Policy (AUP), which is incorporated into these Terms. The AUP sets forth prohibited activities including, but not limited to, sending unsolicited bulk communications (spam), traffic pumping, using the network for illegal purposes, and impersonating emergency services.

Violation of the AUP may result in immediate service suspension or termination without prior notice and without refund of any prepaid amounts. You are responsible for ensuring that your employees, contractors, and end users comply with the AUP.

5. Payment Terms

All fees for Vinix Services are invoiced monthly in advance for recurring charges (monthly line fees, seat licenses) and monthly in arrears for usage-based charges (per-minute calls, messages, additional data). Invoices are issued on the first of each month and are due within 30 days of the invoice date.

Late payments: Invoices not paid within 30 days are subject to a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower. Vinix reserves the right to suspend Services for accounts with invoices outstanding more than 15 days past due. Service will be restored within one business day following receipt of full payment, including any applicable late fees.

Taxes and regulatory fees: All prices quoted are exclusive of applicable taxes, surcharges, and regulatory fees. You are responsible for all federal, state, and local taxes and fees applicable to your service address. See our Understanding Telecom Taxes & Fees guide for more information.

Billing disputes: If you believe an invoice contains an error, you must notify Vinix in writing within 30 days of the invoice date. Disputes submitted after 30 days will not be considered. Vinix will investigate good-faith disputes and issue a credit for verified billing errors.

6. Service Level Agreement

Vinix’s uptime commitments, incident response time targets, service credit terms, and exclusions are set forth in the Service Level Agreement (SLA), incorporated herein by reference. Service credits are your sole and exclusive remedy for Vinix’s failure to meet the uptime commitments set forth in the SLA, except in cases of gross negligence or willful misconduct.

7. Intellectual Property

Vinix and its licensors retain all right, title, and interest in and to the Vinix platform, applications, software, documentation, and all related intellectual property rights. These Terms do not grant you any ownership rights in the Vinix Services.

Subject to your compliance with these Terms and payment of applicable fees, Vinix grants you a limited, non-exclusive, non-transferable, revocable license to use the Vinix applications solely for your internal business purposes during the term of your subscription.

You retain ownership of all content you create, transmit, or store using the Services (“Customer Content”). You grant Vinix a limited license to process Customer Content solely as necessary to provide the Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VINIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF VINIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VINIX’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO VINIX IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

Emergency services disclaimer: VoIP services have limitations with respect to 9-1-1 and E911 emergency calling. You acknowledge that Vinix’s E911 capabilities may differ from traditional landline 911, and that Vinix is not liable for any inability to complete an emergency call or for any harm resulting therefrom. 9. Indemnification

You agree to defend, indemnify, and hold harmless Vinix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of any applicable law or regulation, including telecommunications regulations; (c) your use of the Services in a manner that infringes the rights of any third party; (d) any Customer Content you transmit through the Services; or (e) your violation of the Acceptable Use Policy.

10. Term & Termination

These Terms are effective from the date you first accept them and continue until terminated.

Termination by Customer: You may terminate your month-to-month Services with 30 days’ written notice to [email protected]. For fixed-term contracts, early termination fees may apply as specified in your service order. Number porting requests will be honored in accordance with FCC porting rules.

Termination by Vinix: Vinix may terminate your account with 30 days’ notice for convenience. Vinix may terminate your account immediately, without notice and without refund, for: (a) material violation of the Acceptable Use Policy; (b) non-payment after notice; (c) fraudulent or abusive activity; (d) where continuation of service creates legal or regulatory risk for Vinix.

Upon termination, your right to use the Services ceases immediately. Vinix will retain your data for 30 days following termination, during which you may request an export. After 30 days, your data will be deleted in accordance with our data retention policies.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the venue in Miami-Dade County, Florida.

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm. You agree that any claims will be brought solely in your individual capacity and not as a plaintiff or class member in any purported class action.

12. Changes to Terms

Vinix reserves the right to modify these Terms at any time. We will provide at least 30 days’ advance notice of material changes by posting updated Terms on our website and sending notice to your registered email address. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may terminate your Services as provided in Section 10.
